Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("you" or "User") and Valise LLC, a California limited liability company ("Valise," "we," "us," or "our"), governing your access to and use of the Valise website, applications, and services (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age to use the Service. By creating an account, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Service Description

Valise provides AI-powered luxury travel recommendations, including property suggestions, itinerary planning, and pricing estimates. Our recommendations are generated using proprietary algorithms, artificial intelligence, and curated data sources. Valise is an informational and planning service — we do not directly book travel, process travel-related transactions, or act as a travel agent, tour operator, or insurance provider.

Recommendations are generated by AI and may include inaccuracies. All travel information, including pricing, availability, property descriptions, and travel logistics, is provided for reference only and should be independently verified with the relevant travel providers before making purchasing decisions.

3. Account Registration & Security

To access the Service, you must create an account using a valid email address and password. You agree to: (a) provide accurate and complete registration information; (b) maintain the security of your password and account credentials; (c) promptly notify us at support@valisedesk.com of any unauthorized access to or use of your account; and (d) accept responsibility for all activity that occurs under your account. Accounts are individual and non-transferable. We offer optional two-factor authentication (TOTP) for additional account security.

4. Subscription & Billing

The Service is available under both free and paid subscription tiers, collectively branded as Valise Privé. Paid subscriptions are billed in U.S. dollars through our payment processor, Stripe, Inc. All prices are exclusive of applicable taxes unless stated otherwise.

Subscriptions auto-renew at the end of each billing period unless canceled prior to the renewal date. We reserve the right to adjust pricing with at least 30 days' advance written notice to active subscribers. Price changes take effect at the start of the next billing cycle following the notice period.

5. Consultation Limits & Windows

Each Valise Privé subscription plan includes a defined number of AI consultations within a specific time window:

• Envoy ($40/month): 5 consultations per 30-day rolling window
• Consul ($90/3 months): 15 consultations per 90-day rolling window
• Diplomat ($250/year): 60 consultations per 12-month period
• Ambassador ($500/year): Unlimited consultations

Unused consultations do not roll over and are forfeited at the end of each window. When your consultation window expires, access to Privé features — including live verified pricing — will be unavailable until your next billing cycle begins, even if your subscription remains active.

Free accounts may try one anonymous search with AI-estimated pricing (not independently verified). Upon creating an account, each user receives a one-time complimentary Envoy subscription (5 consultations over 30 days) with the same verified pricing and personalization features available to paid subscribers. This free Envoy subscription is granted once per lifetime and does not renew.

6. Cancellation & Refunds

You may cancel your subscription at any time from your account settings. Upon cancellation:

• You retain access to Privé features until the end of your current billing period.
• Your saved properties, taste profile, wish list, favorites, and search history are preserved with your free account.
• 14-Day Money-Back Guarantee: Automated full refunds are available within 14 days of your initial subscription purchase. After 14 days, contact support@valisedesk.com and we will handle your request on a case-by-case basis.
• Partial refunds for unused consultations are not provided, except where required by applicable law.
• Subscriptions activated via invite codes are not eligible for automated refunds.

Refunds are processed to the original payment method within 5–10 business days.

7. Referral Program

Eligible subscribers may refer new users to Valise using a personal referral code. When a referred user subscribes to a paid plan, the referrer receives a 30-day tier upgrade to the next subscription tier (e.g., Envoy to Consul, Consul to Diplomat). Tier upgrade rewards are temporary, non-transferable, and carry no cash value. Valise reserves the right to modify, suspend, or terminate the referral program at any time. Abuse of the referral program — including self-referral, fake accounts, or automated signups — may result in forfeiture of rewards and account termination.

8. AI-Generated Content

The Service uses third-party artificial intelligence models to generate travel recommendations, property descriptions, pricing estimates, and itinerary suggestions. AI-generated content may contain inaccuracies, omissions, or outdated information. Valise does not guarantee the accuracy, completeness, or reliability of any AI-generated output. You acknowledge that:

• Pricing estimates are approximations and may differ from actual rates offered by travel providers.
• Property descriptions are synthesized from multiple data sources and may not reflect current conditions.
• You are solely responsible for verifying all information before making travel or purchasing decisions.
• Valise is not liable for decisions made in reliance on AI-generated content.

9. Accuracy of Information

While we strive for accuracy by cross-referencing verified data sources — including third-party APIs, public reviews, and editorial content — prices, availability, property conditions, travel routes, and other details may change without notice. We do not warrant that any information provided through the Service is current or error-free. Always confirm details directly with hotels, airlines, and other travel providers before booking.

10. Acceptable Use

You agree not to:

• Share, sell, or transfer your account credentials to any third party.
• Use bots, scrapers, crawlers, or other automated tools to access or extract data from the Service.
• Attempt to reverse-engineer, decompile, or derive source code from the Service or its algorithms.
• Copy, reproduce, resell, sublicense, or redistribute our recommendations, content, or data for commercial purposes.
• Circumvent rate limits, access controls, bot-protection mechanisms, or authentication systems.
• Interfere with the operation, security, or availability of the Service.
• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.

Violation of these restrictions may result in immediate account suspension or termination without notice or refund.

11. Intellectual Property

All content, software, algorithms, data, trade dress, and visual design elements of the Service are the exclusive property of Valise LLC or its licensors and are protected by U.S. and international intellectual property laws.

Trademarks: "Valise," "Valise Privé," "Property Genome," the Valise logo, and the names of our subscription tiers (Envoy, Consul, Diplomat, Ambassador) are trademarks or registered trademarks of Valise LLC in the United States and/or other jurisdictions. All other trademarks, service marks, and trade names appearing on the Service are the property of their respective owners. Nothing in these Terms grants you any right, title, or interest in our trademarks.

Proprietary Systems: The Property Genome™ recommendation system, traveler archetype models, taste profiling algorithms, and curated property data are proprietary to Valise LLC. No portion of these systems may be copied, reproduced, adapted, or distributed without our express written permission.

User Content: You retain ownership of any content you submit to the Service (such as concierge notes, feedback, and preferences). By submitting content, you grant Valise a non-exclusive, royalty-free, worldwide license to use, process, and store that content solely for the purpose of providing and improving the Service.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. VALISE DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION PROVIDED THROUGH THE SERVICE, INCLUDING AI-GENERATED RECOMMENDATIONS AND PRICING ESTIMATES.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VALISE LLC, ITS MEMBERS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF VALISE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO VALISE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

14. Indemnification

You agree to indemnify, defend, and hold harmless Valise LLC, its members, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any travel decisions, bookings, or transactions you make based on information obtained through the Service.

15. Termination

We may suspend or terminate your account at any time, with or without cause or notice, if we reasonably believe you have violated these Terms or if required by law. Upon termination: (a) your right to use the Service ceases immediately; (b) we may delete your account data in accordance with our Privacy Policy; and (c) provisions that by their nature should survive termination (including Sections 11 through 14 and 16 through 20) will remain in effect.

You may delete your account at any time from your account settings. Upon voluntary deletion, all personal data is permanently removed within 30 days.

16. Governing Law

These Terms and any dispute arising out of or relating to them shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict-of-law principles.

17. Dispute Resolution & Arbitration

Informal Resolution: Before initiating formal proceedings, you agree to contact us at support@valisedesk.com and attempt to resolve any dispute informally for at least 30 days.

Binding Arbitration: Any dispute, claim, or controversy that cannot be resolved informally shall be settled by binding arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall be conducted in the English language. The arbitrator's decision shall be final, binding, and enforceable in any court of competent jurisdiction. The arbitrator may award the same damages and relief as a court.

Class Action Waiver: YOU AND VALISE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims and may not preside over any form of class or representative proceeding.

Exceptions: Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. Claims within the jurisdiction of small claims court may be brought in such court in lieu of arbitration.

18. Electronic Communications

By creating an account, you consent to receive electronic communications from Valise, including transactional emails (account verification, password resets, subscription confirmations), service notifications (consultation limit alerts, billing updates), and, if opted in, promotional content (weekly digests, product updates). You may opt out of non-essential communications at any time from your account settings or by contacting support@valisedesk.com. Opting out of transactional emails is not available as they are necessary for service operation.

19. Force Majeure

Valise shall not be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, pandemics, government actions, power failures, internet or telecommunications failures, or third-party service outages.

20. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Valise LLC regarding the Service and supersede all prior agreements, understandings, and communications.

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. Valise may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Headings: Section headings are for convenience only and do not affect the interpretation of these Terms.

21. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via email to active account holders at least 30 days before they take effect. The "Last updated" date at the top of this page reflects the most recent revision. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service and may delete your account.
